TopUpCredits — Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your purchase and use of virtual credits issued and sold by TopUpCredits, a service operated by HelixPoint LLC ("TopUpCredits", "we", "us", or "our").

By purchasing or using TopUpCredits, you agree to be bound by these Terms.

If you do not agree, do not purchase or use TopUpCredits.

2. Definitions

TopUpCredits / Credits: Virtual, closed-loop, non-transferable credits with no cash value, redeemable only at participating platforms.

Participating Platforms / Partners: Digital platforms or services that accept TopUpCredits as a form of payment.

Account: A registered user account on TopUpCredits. Guest checkout may be available with limits.

3. Purchase & Billing

When you purchase Credits, TopUpCredits is the Merchant of Record.

Your billing statement will display TOPUPCREDITS (or a substantially similar descriptor shown at checkout).

By completing a transaction, you authorize us to charge your selected payment method in accordance with these Terms.

4. Closed-Loop Credits (No Cash Value)

TopUpCredits are not money and cannot be used as a substitute for currency.

Credits:

  • Do not convert to cash or fiat
  • Cannot be withdrawn, refunded, resold, gifted, or transferred
  • May only be redeemed on approved participating platforms

This structure is intentional to maintain closed-loop virtual credit status.

5. Delivery of Credits

Credits are typically delivered immediately once payment is successfully authorized.

Delivery is recorded in our internal transaction system.

If delivery fails, contact support@topupcredits.com and we will assist.

6. Refunds & Limited Exceptions

Purchases of Credits are final and non-refundable, except:

  • Where a refund is required by applicable law, or
  • Where Credits were not delivered due to system failure and we are unable to correct it.

This policy does not prevent your right to dispute unauthorized transactions with your card issuer.

However, misuse of chargeback processes (also known as friendly fraud) may result in account suspension.

7. Dispute Evidence & Compliance

In the event of a dispute, we may provide evidence to payment processors, financial institutions, and regulatory authorities. Evidence may include:

  • 3-D Secure authentication data
  • Payment authorization logs
  • IP address and device fingerprint
  • Timestamped checkout consent checkbox
  • Email receipts
  • Internal credit delivery records

You consent to our use of such records for dispute resolution and compliance.

8. Fraud Prevention, Limits & Account Suspension

We may take any of the following actions to protect the platform:

  • Limit transaction sizes or frequency
  • Require identity verification
  • Freeze or restrict Credits
  • Suspend or terminate accounts
  • Refuse transactions that appear fraudulent or abusive

These actions may be taken without prior notice if necessary.

9. Guest Checkout

Guest checkout may be available but is subject to stricter limits and possible verification.

Creating an account may unlock additional limits and provide transaction history.

10. Data & Privacy

Your personal data is handled in accordance with our Privacy Policy.

By using TopUpCredits, you authorize us to process data for:

  • Payment processing
  • Fraud prevention
  • Dispute resolution
  • Regulatory compliance

11. Limitation of Liability

To the extent permitted by law, TopUpCredits' total liability for any claim relating to these Terms or Credits shall not exceed the amount you paid for the Credits in question.

We are not liable for indirect, incidental, special, or consequential damages.

12. Indemnification

You agree to indemnify and hold harmless TopUpCredits from losses, chargebacks, fines, penalties, or claims arising from:

  • Your use or misuse of Credits
  • Your breach of these Terms
  • Fraudulent or abusive conduct

13. Governing Law & Arbitration

These Terms are governed by the laws of Wyoming, USA.

Any dispute shall be resolved by binding remote arbitration before the AAA (or ICC if AAA is unavailable), with the seat in Wyoming and the proceedings conducted in English.

No class actions or jury trials are permitted.

Claims may only be brought against HelixPoint LLC, not its owners, officers, or affiliates.

14. Changes to These Terms

We may update these Terms from time to time.

Continued use of TopUpCredits constitutes acceptance of the revised Terms.
